Upskill Learner Terms
Version 1.2
25 October 2026
Article 1. Parties and definitions
1.1 These terms are agreed between Aerospace Garage Limited, a limited liability company registered in the Masdar City Free Zone, Abu Dhabi, United Arab Emirates, under licence number MC 14835, whose address is Smart Station, First Floor, Incubator Building, Masdar City, Abu Dhabi ("Aerospace Garage", "we", "us"), and the person who creates an Upskill account or buys or takes a course ("you").
1.2 "Upskill" means Aerospace Garage's online training service. A "Course" is a course offered on Upskill, including its lessons, materials, quizzes and downloads. An "Author" is the person or organisation that wrote a Course.
Article 2. Your account
2.1 You must be 18 or over to create an account or buy a Course.
2.2 One account is for one person. Keep your sign-in details private; you are responsible for what happens under your account.
2.3 The details you give us must be true and kept up to date.
Article 3. The courses
3.1 Each Course page describes its content, length, level and price before you buy.
3.2 We may update a Course to keep it accurate and current. Updates never remove the main content you paid for.
3.3 Completing a Course does not guarantee any job, promotion, exam result or approval.
Article 4. Records of participation
4.1 When you complete a Course and pass its final quiz, you receive a record of participation with a unique code and an online check page, so others can check it is genuine.
4.2 A record of participation confirms that you completed the Course and passed its final quiz. It is not regulatory-approved training, recurrent training or type training, and it does not count as credit towards any licence, authorisation or approval.
4.3 We may withdraw a record of participation obtained dishonestly, for example by someone else taking the Course or quiz for you. The online check page will then show it as withdrawn.
Article 5. Your licence to use a course
5.1 When you buy a Course, we grant you a personal, non-transferable, non-exclusive licence to study it for your own professional development, for the period in article 6.
5.2 You may download only the materials a Course offers for download, and use them for your own work. Pages may show your name as a watermark.
5.3 You may not share your account, resell or redistribute a Course or its materials, or give others access to them.
Article 6. How long you keep access
6.1 You keep access to a Course you bought for 3 years from the date of purchase.
6.2 If we withdraw a Course before then, you keep access until the end of your 3 years, or we offer you an equivalent Course, at your choice.
6.3 Free Courses and free parts of Courses may be changed or withdrawn at any time.
Article 7. Prices, payment and VAT
7.1 Prices are in US dollars. The price shown depends on where you are:
- If you are an individual in the United Arab Emirates, the price shown includes UAE VAT at 5% and is the total you pay.
- If you are buying for a business in the United Arab Emirates, the price shown is before VAT, and UAE VAT at 5% is added at checkout.
- If you are outside the United Arab Emirates, the price shown is the total you pay to us, with no UAE VAT added. Any tax or charge applied in your own country, or by your bank, is your responsibility.
7.2 The checkout confirms the final price from your billing country before you pay. If your billing country differs from the country first shown, the checkout price applies.
7.3 Payment is by card through our secure checkout. Your purchase is confirmed, and access starts, once payment is received. You receive a tax invoice by email.
Article 8. Discounts
8.1 We may offer discounts, including:
- Learning credit: once the total you have paid for Courses (after discounts, excluding tax, and less any refunds) reaches US$200, you receive 5% off later purchases; from US$500, 8% off.
- Bundle discounts on learning paths, and promotion codes.
8.2 Only one discount applies to a purchase: the one that saves you the most. Discounts cannot be exchanged for cash, transferred or combined.
8.3 We may change or end any discount for future purchases; it never affects a purchase already made.
Article 9. Refunds and final sale
9.1 All sales are final and non-refundable, subject only to the limited exceptions set out under "Purchases, Preview and Refunds" in the Learner Terms. Before you buy, each Course page shows the Course description, its lessons, its running time, its price and a free preview, so that you can decide with full information.
9.2 Billing errors and non-delivery are corrected, and this is not a refund. If you were charged twice, or charged an amount different from the price shown at checkout, we return the amount charged in error to the card you paid with. If, because of a fault on our side, you cannot access a Course you paid for and we do not fix it within 10 working days, we return what you paid for that Course.
9.3 You get access to a Course as soon as payment is received. By buying, you ask us to give you access at once, and you accept that you lose any right you may have under the law of your country to cancel the purchase once access has started.
9.4 Nothing in these terms limits any right you have under applicable consumer protection law that cannot lawfully be excluded.
Article 9A. Purchases, Preview and Refunds
9A.1 Pre-purchase preview. Before purchase, every prospective Buyer is given the opportunity to view a free preview of the course.
9A.2 Acceptance of Terms. Before entering any payment card details, the Buyer must review and expressly accept these Learner Terms by ticking the acceptance box provided.
9A.3 Voluntary purchase. By ticking the acceptance box and completing payment, the Buyer acknowledges and confirms that (a) they were given the opportunity to view the free preview; (b) they have read, understood and accepted these Learner Terms; and (c) they are purchasing the course voluntarily and of their own free will.
9A.4 Final sale. All sales are therefore final and non-refundable, save only where (a) the Buyer has been charged more than once for the same course; or (b) the course cannot be accessed because of a fault attributable to Aerospace Garage Limited that is not remedied within fourteen (14) days of the Buyer notifying it.
9A.5 Credit notes. Any refund made under paragraph 4 shall be accompanied by a tax credit note issued by Aerospace Garage Limited.
Article 10. Acceptable use
10.1 You will not share your account; copy, record, scrape or redistribute Course content; use Course content to train or feed any AI system; have someone else take lessons or quizzes for you; or try to get around any access control.
Article 11. Ownership of course materials
All Upskill courses and their materials, including text, narration, drawings, quizzes and certificates, belong to Aerospace Garage Limited. You may use them for your own learning. You may not copy, share, resell or publish them without our written permission.
Article 12. Your reviews and questions
12.1 If you post a review, rating or question, you allow us to display it on Upskill with your first name and initial.
12.2 Reviews must be honest and relate to the Course. We may remove anything that is abusive, promotional, contains personal data or breaks these terms.
Article 13. Education, not advice
13.1 Courses develop professional knowledge. They are not professional, legal or regulatory advice, and they never replace the approved training, procedures, manuals or instructions of your organisation or your aviation authority.
13.2 Always follow your organisation's approved procedures and the requirements of your authority. Where a Course and those differ, they prevail.
Article 14. AI in our courses
14.1 Some Course material is compiled with AI and is always reviewed by a practitioner before it is published.
Article 15. Your data
15.1 We use your personal data to run your account, deliver Courses and records of participation, take payment and support you, in line with the UAE Personal Data Protection Law.
15.2 Our systems are hosted in Ireland; we use the safeguards the law requires for data transferred outside the UAE.
15.3 We send marketing emails only if you agree, and you can stop them at any time.
Article 16. Non-military content
16.1 Upskill offers Aviation & Aerospace content only. It contains no defence or military content, and Courses may not be used for defence or military purposes.
Article 17. Liability
17.1 Our total liability to you in connection with a Course is limited to the amount you paid for that Course.
17.2 We are not liable for indirect or consequential loss, or for loss of income, opportunity or data.
17.3 Nothing in these terms limits liability for fraud or wilful misconduct, or reduces any right you have as a consumer that cannot lawfully be limited.
Article 18. Suspension and closure
18.1 We may suspend or close your account if you break these terms, act fraudulently or reverse a payment without good reason. Where fair, we will tell you first and give you a chance to put things right.
18.2 You may close your account at any time. No refund is due when you do.
Article 19. Changes to these terms
19.1 We may update these terms. Each purchase stays under the version you accepted at the time, which we record with the purchase.
Article 20. Law and disputes
20.1 These terms are governed by the laws of the Emirate of Abu Dhabi and the federal laws of the United Arab Emirates.
20.2 Please contact us first: most issues can be settled quickly. If a dispute cannot be resolved, the courts of the Emirate of Abu Dhabi have jurisdiction. This does not remove any right you have under consumer protection law to bring a claim elsewhere.
20.3 These terms are written in English. If they are translated, the English version prevails.
